Responsibilities Provide comprehensive legal advice on all aspects of intellectual property rights, including trademarks, patents, copyrights, and trade secrets. Draft, review, and negotiate IP-related agreements such as licensing agreements, assignment agreements, and non-disclosure agreements. Conduct IP due diligence for potential acquisitions, investments, or partnerships. Manage and enforce the company's IP rights, including handling infringement claims and disputes both locally and globally. Stay updated on relevant IP laws and regulations in Hong Kong and international jurisdictions relevant to the company's business operations. Governance Advise the company's senior management and board of directors on corporate governance matters, ensuring compliance with local and international corporate governance codes and regulations. Assist in the development and implementation of corporate governance policies and procedures, including those related to board composition, director independence, and shareholder rights. Review and provide legal input on board resolutions, minutes, and other corporate governance documentation. Coordinate with internal stakeholders to ensure effective communication and implementation of corporate governance initiatives. Compliance Develop and maintain a robust compliance program to ensure the company's operations in Hong Kong are in full compliance with all relevant financial services laws, regulations, and industry standards. Monitor and assess regulatory changes and their potential impact on the company's business, providing timely advice on necessary adaptations. Manage internal investigations related to compliance issues and work with relevant authorities in case of regulatory inquiries or audits. Liaise with external compliance consultants and industry associations to stay informed about best practices in the financial services compliance space. Mergers and Acquisitions (M&A)Provide end-to-end legal support for M&A transactions, from the initial deal screening and due diligence phase to the negotiation, execution, and post-deal integration. Lead the legal due diligence process, identifying and assessing legal risks associated with target companies, including but not limited to corporate, regulatory, litigation, and contractual risks. Draft, review, and negotiate M&A transaction documents such as share purchase agreements, asset purchase agreements, and merger agreements. Coordinate with cross-functional teams including finance, tax, and operations to ensure seamless execution of M&A deals. Handle regulatory approvals and filings required for M&A transactions in Hong Kong and other relevant jurisdictions. Requirements A law degree from a recognized university, with admission to practice law in Hong Kong. Additional qualifications or admission in other common law jurisdictions is a plus. For IP specialization: 5-10 years of relevant legal experience in IP law, preferably with exposure to the financial services or technology sectors. Strong understanding of international IP treaties and cross-border IP issues. For Governance specialization: 5-10 years of experience in corporate governance, with experience in advising financial institutions or publicly-listed companies. Knowledge of relevant stock exchange listing rules and regulations. For Compliance specialization: 5-10 years of compliance or legal experience in the financial services industry. Familiarity with regulations such as SFC requirements, anti-money laundering (AML), and counter-financing of terrorism (CFT) regulations. For M&A specialization: 5-10 years of experience in M&A transactions, with at least some experience in the financial services sector. Proven track record of successfully handling complex M&A deals. Excellent legal research, analytical, and writing skills. Strong communication and interpersonal skills, with the ability to effectively interact with senior management, internal teams, and external stakeholders. Ability to work independently, manage multiple tasks simultaneously, and thrive in a fast-paced, dynamic work environment. Fluency in English and Chinese (both written and spoken) is essential.
