Assistant Legal Counsel / Manager, Contract Management - ICClient Description Regional IT services and solutions provider Job Description Assistant General Counsel Responsibilities Reporting line to this role is to SG General Counsel and HK Country Head. The Contract Manager in HK will work under the Legal Counsel. Reviewing contracts, tenders, vendor agreements (for hardware, software and services) and related documents in compliance with the contract policy, proposing amendments and highlighting and advising on and proposing solutions in relation to contractual issues, legal and commercial risks to the business proposal teams. Negotiating with counterparties as required by the business proposal teams. Preparing applications for exceptions approval in accordance with the contract policy. Conducting legal training for the legal team, business and project staff, including the preparation of training materials. Rendering legal advice in support of corporate functions. Supporting periodic audit exercise on the company and the legal department. Assisting in company secretariat function. Other duties – reviewing policies and processes of legal function, collating and analysing data, preparing reports and policy papers for the general improvement of the legal function and processes. All necessary reporting and liaison with parent company for above responsibilities, including periodic litigation reporting. Any other function as assigned from time to time. Manager, Contract Management Responsibilities Managing a variety of commercial contracts/projects (including subcontracts / supplier contracts) in accordance with company policies and procedures, applicable laws and customer requirements from pre-sales to projects close-up. Providing on-site advice to various business units and project teams on contractual and policy compliance matters. Responding to inquiries regarding contract obligations and revisions. Identifying risks and issues, suggest alternatives that lead to the best solution. Reviewing and managing contractual obligations of the parties and provides continual review to ensure that all terms and conditions are met. Preparing and disseminating information regarding contract compliance, modifications, etc. Reviewing Work Orders and providing comments and suggested revisions based on an understanding of the work and the Change Program terms and conditions. Managing contract change control processes, related Work Orders and subcontracts. Acting as the primary contact between the project team and/or business unit and Legal ensuring that all legal and contractual matters are addressed efficiently and promptly. Acting as liaison between Legal, Project Management Office and Business Units. Checking proposals and draft agreements for adherence to company policies and procedures and monitoring compliance. Undertaking projects as assigned to improve working processes in contract management. Provide periodic training to Business Development & Project Management personnel. Job Requirements Assistant General Counsel Requirements A good Bachelor’s or Master’s Degree in law from Hong Kong or UK. Called to the Bar in a major jurisdiction.5-8 years PQE with several years in private practice in a good law firm. Experience could be in corporate work, litigation or a mix of both. In-house experience in an IT environment will be an advantage; candidates without this experience but who are keen to work in an IT environment may also apply. Possess strong linguistic ability and good people management skills. Strong work ethic, able to work in focused manner and within tight timelines. Willing to undertake occasional travel. Manager, Contract Management Requirements Bachelor’s Degree in Law, with min 7-8 years’ PQE, of which 3-4 years spent in private practice and 3-4 years as in house counsel. Experience in IT / Telco industry preferred but not compulsory. Excellent written and spoken English skills, ability to communicate facts and ideas in a clear and logical manner. Possess good knowledge of contracts, proficient in drafting various types of commercial contracts and negotiating directly with the client, suppliers and subcontractors from identification of deal to project close ups. Exposure and solid experience in negotiating contracts is a must.
